Suomen Hoivatilat Oyj: disclosure under chapter 9, section 10 of the Securities Market Act
Suomen Hoivatilat Oyj ("Hoivatilat") has on 13 November 2018 received a notification pursuant to chapter 9, section 5 of the Securities Market Act from Föreningen Konstsamfundet rf. (business identity code 0200196-3) and Kusinkapital Ab (business identity code 1932160-5), made on behalf of a limited company to be incorporated.
Pursuant to the notification, the aggregate holdings of shares and voting rights of the notifying party has exceeded 5% and 10% on 12 November 2018. The notification is based on a transaction where Föreningen Konstsamfundet rf. and Kusinkapital Ab acting on behalf of a limited company to be incorporated (the "Purchaser") and Nurture Property Holding Oy and Nurture Real Estate Holding Oy (the "Sellers") have on 12 November 2018 entered into an agreement for the sale of 3,767,012 shares in Hoivatilat by the Sellers to the Purchaser. The transaction will be settled no later than 12 December 2018.

The following additional information was made available to Hoivatilat in the notification: "Föreningen Konstsamfundet rf. and Kusinkapital Ab acting on behalf of a limited company to be incorporated (the "Purchaser") and Nurture Property Holding Oy and Nurture Real Estate Holding Oy (the "Sellers") have on 12 November 2018 entered into an agreement for the sale of 3,767,012 shares in Hoivatilat by the Sellers to the Purchaser. The transaction will be settled no later than 12 December 2018.
Föreningen Konstsamfundet rf. and Kusinkapital Ab (or a company it controls) will each hold 50% of the shares and voting rights in the Purchaser.
Kusinkapital Ab has pre-existing holdings of 352,137 shares in Hoivatilat, such shares representing 1.38% of the shares and voting rights in Hoivatilat. This notification does not relate to such shares."
